Overview

We are seeking a Company Secretary to join our client's team at their Head Office. This pivotal role involves overseeing corporate governance, statutory compliance, and company secretarial functions across a diverse group structure operating in South Africa, Namibia, and Botswana. The successful candidate will ensure compliance with applicable legislation and regulatory requirements while supporting Directors, Boards, and senior management in fulfilling their fiduciary and statutory responsibilities.

Responsibilities

As the Company Secretary, your key responsibilities will include:

  • Ensuring compliance with the Companies Acts and corporate governance requirements in South Africa, Namibia, and Botswana.

  • Managing all company secretarial and statutory functions for the Group's entities.

  • Preparing and maintaining statutory records, registers, resolutions, and company documentation.

  • Coordinating Board, Shareholder, and Committee meetings, including agenda preparation and minute-taking.

  • Facilitating company registrations, amendments, deregistrations, and changes to corporate structures.

  • Monitoring legislative changes and advising management on governance and compliance requirements.

  • Liaising with regulators, auditors, legal advisors, and external service providers.

  • Supporting directors in fulfilling their fiduciary and statutory responsibilities.

  • Maintaining an effective corporate governance framework across the Group.

Qualifications

To be considered for this role, you should meet the following qualifications and requirements:

  • A relevant tertiary qualification in Law, Corporate Governance, Commerce, or a related field.

  • A Chartered Secretary (CGISA) or equivalent professional qualification will be advantageous.

  • A minimum of 5-10 years' experience in a company secretarial or corporate governance role.

  • Comprehensive knowledge of the Companies Acts and corporate governance frameworks applicable in South Africa, Namibia, and Botswana.

  • Proven experience managing multi-entity group structures.

  • Exceptional attention to detail, organisational, communication, and stakeholder management skills.

  • The ability to handle confidential information with the highest level of integrity and professionalism.
