Overview
We are searching for an experienced Senior Manager - Legal and Compliance to join our client's team. This role is pivotal in ensuring the organisation's legal, compliance, and risk management frameworks are robust, effective, and aligned with corporate governance standards. The ideal candidate will bring a wealth of expertise in corporate legal matters, risk management, insurance, and sustainability principles, with a strong focus on delivering strategic and operational excellence.
Responsibilities
As the Senior Manager - Legal and Compliance, your key responsibilities will include:
Legal and Corporate Governance
Draft, review, and finalise contracts, including client agreements, leases, and service provider contracts.
Maintain and manage the contract register and ensure compliance with insurer requirements.
Provide legal advice and support on corporate governance, including the Companies Act.
Instruct and manage external attorneys and oversee litigation processes.
Draft minutes for Executive Committee and Risk Committee meetings.
Obtain and maintain accurate company legal documentation and board resolutions.
Risk Management and Compliance
Maintain the Business Risk Register and monitor compliance with risk reduction objectives.
Prepare and present quarterly risk reports to the Risk Committee.
Keep abreast of legislative changes and communicate updates to relevant stakeholders.
Arrange training sessions on legislative changes and compliance requirements.
Proactively support and grow collaborative relationships with internal stakeholders.
Insurance and Claims
Oversee insurance matters, including cover, claims, and compliance with insurer requirements.
Manage the claims process, ensuring timely and efficient resolution.
Compile insurance requirements for new assets, properties, and clients in collaboration with the Head of Legal.
Provide expertise in marine liability and cargo insurance.
Sustainability and SHEQ
Assist in the implementation and reporting of sustainability measures.
Collaborate with the National SHEQ Manager to ensure compliance with Safety, Health, Environment, and Quality (SHEQ) standards.
Support the Head of Legal in reporting on SHE-related matters.
Leadership and Financial Management
Manage and develop the legal and claims team, fostering a culture of excellence and continuous improvement.
Monitor departmental expenses to ensure alignment with budget parameters.
Authorise claims and contracts in accordance with the authority levels matrix.
Qualifications
To be successful in this role, you should possess the following qualifications and experience:
Education: LLB degree and admission as an Attorney or Advocate.
Experience: A minimum of 10 years of corporate legal experience post-admission, with at least 4 years in a senior management role.
Knowledge:
Strong understanding of the Companies Act and corporate governance principles.
Expertise in insurance, particularly marine liability and cargo.
Practical experience in implementing integrated compliance programs in large organisations.
Familiarity with SHE legal requirements, Environment, Social and Governance (ESG), and sustainability principles.
Skills:
Exceptional legal drafting, negotiation, and organisational skills.
Strong communication and presentation abilities.
Proficiency in risk management and compliance monitoring.
